Terms of service

These terms are an agreement between you and CHGROUP - FZCO (“Day 1 Partner”, “we”, “us”), a free zone company registered in the United Arab Emirates, with its registered office at IFZA Business Park, DDP, PO Box 342001, Dubai, United Arab Emirates. They apply when you create an account or use Day 1 Partner, including the app at app.dayonepartner.com, the affiliate pages, the API and the MCP server for AI tools. If you use it for a company, you agree for that company and confirm you can. If you don't agree, please don't use Day 1 Partner.

Affiliates who join a program through our pages also accept these terms for their use of those pages. The program's own terms, which the company running it sets, govern the commissions it offers them.

1. The service

Day 1 Partner helps SaaS companies run affiliate programs: it tracks referrals, credits sales recorded in your Stripe account to affiliates, works out commissions, refunds and holds, and prepares the files to pay affiliates through PayPal, Wise or your bank.

We don't hold or move money. You pay your affiliates yourself, through the providers you choose. We aren't a bank, payment processor or money transmitter, and we're not a party to your agreements with your affiliates.

2. Your account

• Day 1 Partner is for businesses. You must be at least 18 and give accurate information.
• Keep your password, API keys and connected AI tools secure. You're responsible for what happens in your workspace, including actions by your team, your API keys and AI tools you connect, since they act with your access.
• Tell us straight away at hello@dayonepartner.com if you think someone has accessed your account without permission.

3. Connecting Stripe and other platforms

To credit sales, you connect your Stripe account and give us read-only access to the records listed when you connect. You can disconnect at any time. When you import a program from another affiliate platform, you confirm you're allowed to give us that data and the access key you use. Your use of Stripe, PayPal, Wise and other services stays subject to their own terms.

4. Fees

• Day 1 Partner is free until your business passes the revenue threshold shown on our pricing page. After that, you pay the fee shown there, or the one we agreed with you in writing.
• We'll email you before your first charge. Fees are charged in US dollars to the card you give us, through Stripe, and don't include taxes, which you pay where they apply.
• If a payment fails, we'll tell you. If it isn't fixed, we may limit your workspace after a grace period until it is; your data stays safe meanwhile.
• We may change our prices with at least 30 days' notice. A change never applies to a month that has already started.
• Fees already paid aren't refundable, except where the law requires.

5. Your affiliate program

You set your program's commission terms, decide who to accept, and are responsible for paying affiliates what you owe them, for any tax forms and reporting, and for following the laws that apply to your program, including advertising disclosure rules. Commissions, balances and payout files are worked out from the data in your Stripe account and the settings you choose; check them before you pay. If you find a mistake, correct it before paying, and tell us if it came from us.

6. Your data

You own the data you bring to Day 1 Partner. You let us use it only to provide, secure and support the service for you, as described in our privacy policy. You're responsible for having the right to share it with us, and for telling your affiliates and website visitors about referral tracking, including asking for cookie consent where the law requires it. You can export your data while your account is open.

7. Acceptable use

Don't use Day 1 Partner to:

• break the law, or infringe anyone's rights;
• run fake, fraudulent or self-referring affiliate activity, or send spam;
• access other people's accounts or data, probe or overload our systems, or get around limits we set;
• copy, resell or reverse engineer the service, except where the law allows it.

We may suspend accounts that break these rules, after telling you where we reasonably can.

8. AI tools

You can connect AI tools to your workspace through our MCP server or API. They act with your access, so review what they do, especially anything that affects money. Some features send data to an AI provider you choose with your own key; that provider's terms apply to it.

9. Changes and availability

We keep improving Day 1 Partner and may change or remove features. We'll give notice of changes that significantly reduce what you get. We work to keep the service available, but it may sometimes be interrupted for maintenance or reasons outside our control.

10. Ending

You can stop using Day 1 Partner and close your account at any time. We may end or suspend your account if you seriously or repeatedly break these terms, or if we have to by law. When an account closes, we delete its data as our privacy policy describes, keeping only the records we must keep.

11. Disclaimers

Day 1 Partner is provided “as is”. To the extent the law allows, we don't promise it will be error-free or uninterrupted, or that tracking will capture every referral: browsers, ad blockers and your own setup can affect it.

12. Liability

To the extent the law allows, neither of us is liable to the other for indirect or consequential losses, such as lost profits, revenue or data, and our total liability under these terms is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. Nothing here limits liability that the law doesn't allow to be limited.

13. Indemnity

You'll cover us against claims from third parties, including your affiliates and customers, arising from your affiliate program, the data you bring, or your breach of these terms.

14. Changes to these terms

We may update these terms. We'll change the date at the top, and tell you by email or in the app before significant changes take effect. If you keep using Day 1 Partner after that, the new terms apply.

15. General

These terms are governed by the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict-of-law rules. Before starting formal proceedings, please contact us at hello@dayonepartner.com; most issues are resolved quickly. Any dispute that can't be resolved informally is subject to the exclusive jurisdiction of the DIFC Courts in Dubai, in English. Either of us may still seek urgent relief in any competent court to protect its intellectual property or confidential information.

If part of these terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver. You can't transfer these terms without our consent; we may transfer them as part of a merger or sale of our business.
